William Klimon and Sharon Nokes of the Firm's Exempt Organizations Group to
Lead Panel on Social Impact Legal Structures

Washington, D.C.—October 9, 2013:  Caplin & Drysdale is pleased to announce that William M. Klimon and Sharon W. Nokes will take part in a special four-part educational series on the opportunities and questions posed by the rapidly emerging "Impact Economy."  The live, national webcasts are being offered in collaboration with the Association of Corporate Counsel (ACC) and the Washington Metropolitan Area Corporate Counsel Association's (WMACCA) Nonprofit and Associations Forum. 

Joining Mr. Klimon and Ms. Nokes on the panel will be Mia Hsu Burton, General Counsel of the Michael & Susan Dell Foundation; Jonathan Ng, Global Legal Director at Ashoka; and Beth Richardson, Director of Product Development at B Lab.

On October 16, 2013, Mr. Klimon and Ms. Nokes will present "Impact: Legal Structures" which will explore the variety of new social enterprise vehicles available to social entrepreneurs—including benefit corps, LC3s, flexible purpose corporations, as well as the privately administered B Corp certification—and discuss their associated governance, tax, and practical implications.  Please click here for a link with more information on this special series of programs and please visit this link to register.

Currently the laws of 20 states—including Delaware, New York, California, and the District of Columbia—provide for the creation of new business entities that relax the once-strict separation between the for-profit and nonprofit sectors.  These "flexible" or "hybrid" entity types are a legislative response to the legal demands and pressures of the Impact Economy.  This four-part series, entitled "The Opportunities and Disruptive Potential of the Impact Economy," is a customized beginner's guide to help practitioners—including experienced lawyers, financial officers, and development professionals—understand and navigate the Impact Economy in order to remain effective and serve the evolving needs of their clients. 

Mr. Klimon is a Member in the firm's Exempt Organizations Group where his practice focuses on corporate governance and transactions, particularly for nonprofit organizations.
